1. Agreement to these terms

Monobid is a product of FOR CARS TECHNOLOGIES LTD, a company registered in England and Wales (company number 17264638, registered office: 95 Middlesex Street, Spitalfields, London E1 7DA, England). These Terms are a binding agreement between you and FOR CARS TECHNOLOGIES LTD (“Monobid”, “we”, “us”). They apply from the moment you first visit the website, create an account, install our software or otherwise use the Services.

If you use the Services on behalf of a company or another legal entity, you represent that you are authorized to accept these Terms for that entity, and “you” also refers to that entity. If you do not agree with these Terms, do not use the Services.

2. What Monobid is — and what it is not

Monobid provides software for professional vehicle-auction buyers: the Monobid App manages shared, auditable access to auction accounts (automatic sign-in, action recording, purchase attribution, roles and billing data), and Monobid Helper produces AI-assisted repair cost estimates from auction lot photos.

Monobid is a software tool only. We are not an auction house, marketplace, dealer, broker, agent or financial adviser. We do not buy or sell vehicles, do not hold or transfer funds, do not take part in transactions between you and auction platforms, and do not guarantee the outcome of any auction.

Monobid is an independent product and is not affiliated with, endorsed by or sponsored by Copart, IAAI or any other auction platform. All trademarks belong to their respective owners.

3. Eligibility

The Services are intended for business use by persons who are at least 18 years old. By using the Services you confirm that you meet these requirements and that the registration information you provide is accurate and kept up to date.

4. Your Monobid account

You are responsible for everything that happens under your Monobid account. Keep your sign-in details confidential, use the available multi-factor authentication, and notify us immediately at contact@monobid.io if you suspect unauthorized access.

Administrators of a team workspace control which team members receive access to connected auction accounts and are responsible for granting, reviewing and revoking that access.

5. Auction accounts and credentials

You may connect only auction accounts that you own or are expressly authorized to use. You confirm that storing credentials in Monobid's encrypted vault and using automated sign-in does not violate your agreements with the relevant auction platform, and you remain solely responsible for complying with each platform's terms of use.

Auction platforms are independent third parties. They may change their websites, fees or rules, or restrict or suspend accounts at their own discretion. Monobid has no control over — and accepts no responsibility for — the decisions, actions or availability of any auction platform.

6. Automation acts on your instructions

The Services automate routine actions — signing in, recording activity, attributing purchases — based on the configuration and instructions set by you and your team. Every bid, offer and purchase made through a connected auction account is deemed your own action, whether performed manually or with the help of Monobid, and you bear full responsibility for it.

7. Acceptable use

You agree not to: (a) use the Services to violate any law or the rights of others; (b) access auction accounts or data you have no right to use; (c) interfere with or disrupt the Services, or probe or circumvent their security; (d) reverse-engineer, copy or resell the Services without our written consent; (e) use the Services to build a competing product; or (f) upload malicious code.

We may suspend or terminate access that we reasonably believe violates these rules.

8. AI estimates are informational only

Repair estimates produced by Monobid Helper are generated automatically from photos and listing data published by auction platforms. They reflect visible damage only and rest on assumptions about parts and labour prices that change over time and vary by region.

Estimates may be incomplete or inaccurate: photos cannot reveal hidden damage, mechanical condition, flood or frame damage, odometer accuracy or title issues. An estimate is not a professional appraisal, not an inspection and not a promise of actual repair cost or resale value. Always verify a vehicle independently before bidding.

9. Auction trading is at your own risk

Buying vehicles at auction involves substantial risk, including the risk of losing money on any given lot or in aggregate. You make all bidding, purchasing and pricing decisions yourself and accept full responsibility for their results.

To the maximum extent permitted by law, Monobid is not liable for any losses arising out of your trading activity, including without limitation: (a) losing or winning bids, or paying more for a lot than it is worth; (b) a vehicle's actual condition, history or documents differing from the listing, the photos or any Monobid estimate; (c) actual repair, transport, customs or other costs exceeding expectations; (d) changes in market prices or currency exchange rates; (e) fees, penalties, account suspensions, lot cancellations or other actions of auction platforms; and (f) missed bids or deadlines caused by service interruptions, connectivity problems or changes on auction platforms' websites.

10. Plans, billing and cancellation

Monobid App is billed per purchased vehicle at the tier prices published on the pricing page, or under an individual agreement for larger volumes. Monobid Helper is a flat monthly subscription that you can cancel at any time; cancellation takes effect at the end of the current billing period, and fees already paid are non-refundable except where the law requires otherwise.

We may change prices with reasonable advance notice; changes apply from the next billing period. You are responsible for any applicable taxes and any charges of your payment provider.

11. Term and termination

You may stop using the Services and close your account at any time by contacting us. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue the Services (with reasonable notice where practicable).

Upon termination your right to use the Services ends, and we delete or anonymize your data as described in the Privacy policy. Sections that by their nature should survive — including disclaimers, limitation of liability and indemnification — survive termination.

12. Intellectual property

The Services, including software, design, text and graphics, are owned by Monobid or its licensors and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Services for your internal business purposes for as long as these Terms are in force.

You retain all rights to the data you submit to the Services. You grant us the licence needed to process that data solely to provide and improve the Services. If you send us feedback, we may use it without obligation to you.

13. Disclaimer of warranties

The Services are provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted, error-free or secure, that estimates will be accurate, or that the Services will remain compatible with any auction platform.

14. Limitation of liability

To the maximum extent permitted by law, Monobid will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data, business interruption or trading losses, even if we were advised such damages were possible.

Our total aggregate liability for all claims relating to the Services is limited to the amount you paid to Monobid in the twelve months preceding the event giving rise to the claim (or, if you paid nothing, USD 100). Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

15. Indemnification

You will indemnify and hold Monobid harmless from claims, damages and expenses (including reasonable legal fees) arising out of your use of the Services, your breach of these Terms or of an auction platform's terms, or your bidding, purchasing and other trading activity.

16. Changes to the services and terms

We continuously develop the Services and may add, change or remove features. We may also update these Terms; when changes are material, we will give notice on the website or by email. The “updated” date above always shows the current version. Continued use of the Services after changes take effect means you accept the updated Terms.

17. Governing law and disputes

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules. Before going to court, please contact us — most issues can be resolved amicably. Disputes that cannot be resolved amicably are subject to the exclusive jurisdiction of the courts of England and Wales, unless mandatory consumer-protection law of your country of residence provides otherwise.

18. Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions stay in force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them as part of a reorganization or sale of the business. These Terms, together with the Privacy policy and any individual agreement between you and Monobid, are the entire agreement between us.

These Terms are published in English and Ukrainian; in case of inconsistency, the English version prevails.
